Altera Infrastructure LP (Marshall Islands)

The Company is an international provider of marine transportation, oil production, storage, long-distance towing and offshore installation and maintenance and safety services to the offshore oil industry, focusing on the deep-water offshore oil regions of the North Sea, Brazil and the East Coast of Canada.
The Company is a limited partnership organized under the laws of the Republic of The Marshall Islands. Our principal executive offices are located at 4th Floor, Belvedere Building, 69 Pitts Bay Road, Hamilton HM 08, Bermuda.
The Company were formed as a Marshall Islands limited partnership in August 2006 by Teekay Corporation (NYSE: TK), a portfolio manager and project developer in the marine midstream market. The Company seek to leverage the expertise, relationships and reputation of Teekay Corporation and its controlled affiliates to pursue long-term growth opportunities in this market.
The Company is listed on New York Stock Exchange.
On January 22, 2020, pursuant to the Agreement and Plan of Merger, dated as of September 30, 2019 (the “Merger Agreement”), by and among the Company, Teekay Offshore GP L.L.C., a Marshall Islands limited liability company and general partner of the Registrant (“Partnership GP”), Brookfield TK Acquisition Holdings LP, a Bermuda limited partnership (“Parent”), Brookfield TK Merger Sub LLC, a Marshall Islands limited liability company (“Merger Sub”), Brookfield TK TOGP LP, a Bermuda limited partnership, Brookfield TK Block Acquisition LP, a Bermuda limited partnership, Brookfield Asset Management Private Institutional Capital Adviser (Private Equity) L.P., a limited partnership formed under the laws of Manitoba, Canada, and Brookfield TK TOLP LP, a Bermuda limited partnership, Merger Sub merged with and into the Company, with the Company surviving the merger as a subsidiary of Parent, certain of its affiliates and Partnership GP (the “Merger”).
In connection with the Merger, the Company has terminated all offerings of Common Units pursuant to the Registration Statement.
The Company Changed it name from Teekay Offshore Partners L.P. to Altera Infrastructure L.P. on March 24, 2020.
On August 15, 2022, the Partnership received a letter from the NYSE notifying the Partnership that as a result of the Chapter 11 Cases and in accordance with section 802.01D of the NYSE's Listed Company Manual, the NYSE has determined that the Partnership's Preferred Units would be delisted from the NYSE, and trading in the Preferred Units was suspended as of August 15, 2022.
