Verde Agritech Ltd. (Singapore)

Verde AgriTech Ltd. (New Verde/ The Company) is a company incorporated in Singapore on 27 June 2022.
The Company formerly known as Verde AgriTech Plc (Old Verde) (GBR000040969) until July 29, 2022. Verde AgriTech Plc was originally incorporated in England on August 14, 2006 under the name “Amazon Mining Holding PLC”
In 2022, the Company undertook a corporate redomiciliation from the United Kingdom to Singapore. This was implemented by way of a scheme of arrangement, which became effective on July 29, 2022. As a result of the redomicile, a new Singapore-incorporated holding company, Verde AgriTech Ltd. (“New Verde”), was established under the laws of Singapore. Upon completion of the transaction, Old Verde became a wholly owned subsidiary of New Verde. As part of the restructuring, the ordinary shares of Old Verde were exchanged on a one-for-one basis for common shares of New Verde, ensuring that shareholders maintained the same proportional ownership interest without dilution. For accounting purposes, New Verde is treated as a continuation of Old Verde, meaning the business operations and financial reporting are considered ongoing without interruption despite the change in jurisdiction.
The Company s ordinary shares commenced trading on the Toronto Stock Exchange (“TSX”) on August 2, 2022, under the symbol “NPK,” which remained unchanged from its previous listing. Shortly thereafter, on August 9, 2022, the Company became a reporting issuer in Singapore. The redomiciliation primarily reflects a change in the Company's place of incorporation and corporate structure rather than a change in its core operations or strategic direction.
